These Terms of Use govern access to and use of paidmediaschool.com and learn.paidmediaschool.com, including our courses, learning materials, accounts, and related services. They explain your permitted use, payment obligations, and our 14-day refund policy. Please read them before registering or purchasing.

Nothing in these Terms excludes or restricts rights or remedies that cannot lawfully be excluded, including applicable consumer rights. Where a provision conflicts with mandatory law, that law takes priority.

Definitions

“We”, “us”, and “our” mean MB Advertiai, operating as Paid Media School. “Websites” means paidmediaschool.com and learn.paidmediaschool.com. A “Visitor” browses the Websites; a “Member” holds a registered account; “User” means either. “Services” includes our online learning platform and related services. A “Course” is a training programme we make available. “Products” includes paid or free courses, downloads, and other resources we offer. “Content” includes text, videos, audio, graphics, templates, software, and other material available through the Websites or Services. “Member Content” is material submitted by a User. A “Consumer” is an individual acting outside their trade, business, craft, or profession.

Arbitration

These Terms do not require Consumers to submit disputes to compulsory arbitration or waive access to competent courts or available consumer dispute-resolution bodies. Arbitration may be used only where lawfully agreed in a separate, valid agreement between the parties. In the absence of such an agreement, disputes are handled as described under Choice of Law below.

Choice of Law

These Terms are governed by Lithuanian law. If you are a Consumer, this choice does not deprive you of mandatory protections available under the law that would otherwise apply, including relevant protections of your country of habitual residence.

Disputes may be brought before courts having jurisdiction under applicable law. Consumers retain any right to bring proceedings in their country of residence. We do not impose a shortened contractual deadline for bringing claims where this would conflict with mandatory law.

Please first contact info@paidmediaschool.com with a written description of the dispute and the remedy requested. We will consider consumer complaints and provide a reasoned response within 14 days of receipt, as required by applicable Lithuanian law. If a complaint is not resolved, eligible Consumers may contact the Lithuanian State Consumer Rights Protection Authority through vvtat.lrv.lt or an appropriate consumer dispute-resolution body. This does not prevent access to a competent court.

Acceptance of Agreement

The agreement is between you and MB Advertiai. By accepting these Terms when registering, purchasing, or otherwise entering into a contract for our Services, you agree to the applicable provisions. Visitors must observe the Website-use restrictions relevant to their activities. If you do not agree, do not register for or purchase the Services and discontinue any use inconsistent with these Terms.

These Terms, the applicable product description, order confirmation, and any additional terms expressly agreed for your purchase form the agreement for that purchase. Specific terms expressly agreed for a product take priority over inconsistent general terms, subject to mandatory law. We will make the applicable purchase terms available for you to retain. Your contractual and statutory rights are not displaced by informal promotional statements or subsequent unilateral changes.

Privacy Notice

Our Privacy Policy explains how we process personal data and how you can exercise your privacy rights. It is available through the Websites. Reviewing or accepting these Terms does not constitute consent to marketing emails, optional cookies, or advertising tracking. We obtain separate consent where required.

Limited License

Subject to these Terms and any applicable payment requirements, we grant you a limited, non-exclusive, non-transferable right to access the Services and use the Content for your own learning. You may apply the knowledge acquired in your work or business. This does not permit copying or distributing our training materials, reselling access, or providing them to other people.

Downloads and templates may be used only as permitted by their stated licence or course instructions. Access duration, included support, and any available downloads are those stated in the relevant product description and your order. No promise of lifetime access, continuing updates, or individual consulting is made unless expressly included in that offer. Nothing prevents retaining or presenting material where necessary to exercise legal rights or comply with law.

Legal Compliance

You must comply with applicable law when using the Websites, Services, and Content. You are responsible for obtaining permissions needed to implement advertising, analytics, tracking, or other techniques taught in a Course, including relevant privacy notices and consents. Training does not authorise you to bypass laws, platform policies, security measures, or the rights of others.

Our Relationship to You

Providing access to the Services does not create a partnership, agency, employment relationship, franchise, or joint venture. You may not represent that you can bind MB Advertiai or act on our behalf without our written authorisation.

Our Intellectual Property

The Websites, our course materials, and associated intellectual property belong to MB Advertiai or the relevant licensors. Our names, branding, designs, videos, written materials, templates, and other protected Content remain subject to applicable intellectual property rights. Third-party names and marks belong to their respective owners.

Except as expressly permitted, you must not reproduce, record, upload, publish, sell, sublicense, distribute, or commercially exploit the Content, or use our branding in a way suggesting approval or affiliation. Purchasing access does not transfer ownership. These restrictions do not override exceptions or rights provided by mandatory law.

Eligibility and Registration for Membership

Registration and purchases are intended for people aged 18 or over who can enter a binding contract. If you register or purchase on behalf of an organisation, you confirm you have authority to do so. You must provide accurate information and keep relevant account details current. Access to a Course may require registration even where the Course is free.

Keep your credentials confidential, use reasonable account security, and notify info@paidmediaschool.com promptly if you suspect unauthorised access. You are responsible for your own account activity to the extent provided by applicable law; this does not make you liable for failures attributable to us. We may refuse or restrict registration for lawful reasons, such as fraud, security risks, or a material breach of these Terms, without unlawful discrimination or prejudice to existing contractual rights.

Errors Corrections and Changes

We aim to keep the Websites accurate and operational, but errors and interruptions can occur. We may correct mistakes and maintain or update the Services. If a material error affects an order, we will contact you and resolve it consistently with the contract and applicable law rather than imposing an undisclosed change.

We will not remove paid access or materially reduce agreed functionality through an arbitrary content change. Where a change materially affects your rights or access, we will provide information and any remedies required by law. Applicable duties to supply conforming digital content, services, or updates remain unaffected.

Disclaimer

Our Courses provide education and general information. They do not constitute individual legal, tax, financial, investment, or other regulated professional advice. Marketing examples and case studies do not guarantee results. Outcomes depend on factors including your skills, implementation, market conditions, budget, and third-party platforms.

Third-party opinions, resources, offers, and products remain the responsibility of their respective providers. A reference or link does not establish endorsement or affiliation. Where you contract directly with another provider, its terms apply to that transaction. This does not exclude our responsibility for obligations we undertake as your supplier.

Warranty Disclaimer

Subject to mandatory rights and any express commitments made for your purchase, publicly available information and free resources are provided on an “as available” basis. We do not promise uninterrupted access, compatibility with every device, or that all third-party tools will remain unchanged.

We do not guarantee particular advertising performance, business revenue, examination success, employment, or other outcomes from taking a Course. We nevertheless remain responsible for supplying paid digital content and Services that conform to the contract and meet applicable legal requirements. These Terms do not remove statutory remedies for defects, failure to supply, or lack of conformity.

Limitation of Liability

Nothing in these Terms excludes liability for fraud, intentional misconduct, gross negligence, death or personal injury where liability cannot be excluded, or any other liability or consumer remedy that cannot lawfully be limited.

For business customers, to the extent permitted by law and subject to the preceding paragraph, we are not liable for indirect or consequential losses, lost profits, or loss of business opportunity. Our aggregate liability relating to an affected purchase is limited to the total fees you paid for that purchase. This business-customer limitation does not restrict a Consumer’s mandatory rights or apply where a limitation is prohibited by law.

For Consumers, liability is determined under applicable law. You must take reasonable steps to avoid or reduce losses where the law requires this, but you are not responsible for losses caused by our failure to perform our legal obligations.

Member Conduct

You must use the Services lawfully and respect other Users. You must not:

  • Post unlawful, fraudulent, defamatory, threatening, discriminatory, harassing, or abusive material.
  • Infringe intellectual property, confidentiality, privacy, or other rights, or share personal information without an appropriate legal basis.
  • Upload malware, attempt unauthorised access, circumvent security or access restrictions, or disrupt the Services.
  • Send spam, unsolicited promotions, deceptive offers, or other unauthorised solicitations.
  • Record, redistribute, resell, or share restricted Course Content or use it to build a competing training library without permission.
  • Share an individual account, give others access through your credentials, or misrepresent your identity or authorisation.
  • Reverse engineer software except where a mandatory legal right permits it.

An individual purchase permits access by one learner unless the offer expressly states otherwise. Team access requires the number of seats or accounts agreed in the relevant offer. Team discounts apply only on the terms stated in that offer; these Terms do not promise any particular discount or price.

We may review reported material, remove unlawful or infringing Content, and take proportionate action against breaches. Where reasonable and appropriate, we will explain the issue and allow an opportunity to correct it. Immediate restrictions may be necessary for serious misconduct, unlawful activity, or security threats, subject to applicable law and contractual remedies.

Use of Information

You retain ownership of your Member Content. By submitting it, you grant us a non-exclusive, royalty-free licence to host, store, reproduce, display, and technically adapt it only as reasonably necessary to operate the Services, provide the feature you use, and handle related support or compliance matters. This licence does not give us unrestricted rights to use private submissions in advertising.

You confirm you have the rights needed to submit the material and grant this licence. Submission does not entitle you to payment unless separately agreed. We handle personal data according to our Privacy Policy and applicable law. Deletion, retention, and any continued use of submissions must respect those requirements and applicable rights concerning user-created content.

Unlawful Activity

We may investigate credible reports of misuse and preserve relevant evidence. Where legally required or otherwise permitted under an appropriate legal basis, we may cooperate with competent authorities and disclose information necessary for the matter. Such disclosures remain subject to applicable privacy law and our Privacy Policy.

Linking to Our Website

You may link to public pages in a lawful, fair manner that does not misrepresent our relationship or imply endorsement. Do not frame our Content to conceal its origin, bypass access controls, or use our branding without permission. We may request removal of a link that infringes our rights or materially misleads users.

Links to Other Websites

External websites and tools have their own terms, privacy notices, availability, and security practices. Review those before using them. We do not control third-party websites, and a link does not guarantee their suitability. This does not limit responsibility for third-party components where applicable law treats them as part of the Services we supply.

Payments

The price, currency, applicable taxes, payment schedule, and product scope are displayed in the relevant offer or checkout before purchase. You must use a payment method you are authorised to use and provide accurate billing details. Online payments are processed through Stripe; our integration receives payment information and notifications needed to administer your order.

Where an instalment plan is expressly offered, its stated schedule and total commitment apply; it is not automatically a cancellable subscription. Any recurring subscription must be identified before purchase together with its billing and cancellation terms. We will not impose undisclosed recurring charges.

If a payment fails, we may contact you and suspend affected access after reasonable notice where appropriate. Any charges or recovery costs must be disclosed and lawful. A price change does not retrospectively change an accepted purchase. Refunds and statutory remedies apply as set out below.

Refunds

Our 14 day course refund policy

If you are dissatisfied because a Course does not meet the purpose described in its offer, you may request a refund within 14 calendar days from the date of purchase by emailing info@paidmediaschool.com. Include your account email, the Course or order reference, and a clear request for a refund. Please explain the issue so we can understand your request; we will not require unnecessary evidence or impose undisclosed conditions.

The request is treated as made when you send it within the 14-day period. The same deadline applies on weekends and public holidays; our response time does not shorten your request window.

Under this voluntary policy, a refund is not available after a Course completion certificate has been generated and issued. The policy is intended to allow a reasonable assessment of suitability, not repeated access without payment. We may refuse a further discretionary refund where there is objectively demonstrable abuse through repeated enrolment and refund requests. A previous legitimate refund alone does not establish abuse.

These voluntary-policy conditions do not restrict statutory withdrawal rights or remedies for faulty, misdescribed, or undelivered content. Free Courses do not generate a monetary refund. For a bundle, a refund normally applies to the purchased bundle rather than an artificial individual-course price, unless a partial refund is agreed or legally required.

We will communicate our decision without undue delay and issue an approved refund to the original payment method, unless another method is agreed without additional cost. Refunds will be made without undue delay and within 14 days after we receive a valid request or notice that legally requires reimbursement. Payment-provider processing may affect when funds appear. Access and the relevant usage licence end when the purchase is refunded. Any remaining instalments for a fully refunded purchase will be cancelled.

Statutory withdrawal and digital content rights

Where applicable consumer law provides a right to withdraw from an online contract, the usual withdrawal period is 14 days from conclusion of a digital-content or service contract. You may exercise an applicable right by sending an unequivocal statement to info@paidmediaschool.com or our registered address. You may use the model wording below, but it is not compulsory.

For digital content not supplied on a tangible medium, a statutory withdrawal right may be lost after supply begins only where the applicable legal conditions are met, including your prior express consent to immediate supply, acknowledgement of the resulting loss of the right, and required confirmation from us. Merely accepting these Terms or logging in is not treated as a blanket waiver. Different rules may apply to services, and mandatory rights to remedies for non-conforming content or Services continue to apply.

Where required withdrawal information or consent procedures have not been correctly provided, the consequences and any extended rights are those prescribed by law. The 14-day voluntary policy does not shorten them.

Optional model withdrawal notice: “To MB Advertiai, Vėtrungių g. 99, Vilnius LT-12107, Lithuania, info@paidmediaschool.com: I hereby give notice that I withdraw from my contract for the following course or service: [description]. Ordered on: [date]. Consumer name: [name]. Consumer address: [address]. Date: [date]. Signature: [only if submitted on paper].”

Termination of Membership

You may request account closure by contacting us. Closing an account does not automatically cancel an agreed payment obligation, but it does not restrict withdrawal, cancellation, or refund rights that apply to your purchase.

We may suspend or end access for a material breach, non-payment, unlawful activity, or a serious security risk. Where reasonable, we will give notice and an opportunity to remedy the issue. Any action must be proportionate and consistent with applicable consumer rights. If we discontinue paid Services for reasons unrelated to your breach, we will honour applicable contractual commitments or provide the remedies required by law.

When a licence ends, stop using restricted Content and delete copies except where retention is permitted by the applicable licence or required to exercise legal rights or comply with law. Data retention and deletion are governed by our Privacy Policy and applicable law. Provisions intended to continue, including intellectual property, payment obligations already accrued, dispute resolution, and lawful liability limits, survive termination.

Indemnification

If you are a business customer, you must compensate us for reasonable, documented third-party losses and legal costs directly resulting from your unlawful use of the Services or infringement of third-party rights, to the extent caused by your breach and permitted by law. We will notify you of the claim, allow reasonable participation in its defence, and take reasonable steps to reduce loss. This does not cover losses caused by our own wrongdoing. Consumers are not subject to an open-ended contractual indemnity; responsibility is determined by applicable law.

Severability and Survival

If a provision is invalid or unenforceable, it will not be applied to the extent of that invalidity, and the remaining provisions continue where legally possible. Mandatory rights remain unaffected. A delay in enforcing a right does not by itself waive it. Provisions that by their nature should continue after termination remain effective to the extent lawful.

Changes to Our Terms and Conditions

We may update these Terms for future use or purchases and will identify the revised version by its update date. For material changes affecting an ongoing contract, we will provide at least 30 days’ advance notice where appropriate and any longer notice or additional agreement required by law. Shorter notice may be necessary for an urgent legal or security requirement, subject to applicable rights.

Changes will not retrospectively remove accrued rights, alter an accepted purchase price, or amend dispute-resolution arrangements for an existing dispute without a valid agreement. Where a material change requires consent or gives you a termination or refund right, we will follow the applicable requirements. Continued use is not treated as consent where express agreement is required. Contact info@paidmediaschool.com with questions about these Terms.
